AGREEMENT

             This Agreement made and entered into this 6^th day of December 2004, by and between UNITED TECHNOLOGIES CORPORATION for and on behalf of PRATT & WHITNEY (CONNECTICUT FACILITIES), hereinafter called the "Company," and DISTRICT LODGE 26 of the INTERNATIONAL ASSOCIATION OF MACHINISTS AND AEROSPACE WORKERS, and its affiliated Local Lodges 700, 1746 and 1746-A, hereinafter called the "Union."
